Notice is hereby given that a meeting of the Board of Directors of The Health, Educational and Housing Facility Board of the County of Shelby, Tennessee (the “Issuer”), will be held on Wednesday, May 13, 2026, at 3:30 p.m. (local time) at 999 S. Shady Grove Rd., Suite 500, Memphis, Tennessee, to consider and act upon all business that may properly come before the Issuer, said business to include, but not necessarily be limited to, giving approval to, and authorizing officers of the Issuer to execute documents in connection with: (1) the issuance by the Issuer of its tax-exempt revenue bonds, in one or more series, in a maximum principal amount of not to exceed $350,000,000 (the “BHMCC Bonds”), the proceeds of which will be loaned to Baptist Memorial Health Care Corporation, a Tennessee nonprofit corporation (“BHMCC”), and used to finance or refinance hospital and healthcare facilities owned by BHMCC or its affiliates, including equipment and related support facilities, at locations in the States of Arkansas, Mississippi and Tennessee; and (2) the issuance by the Issuer of its tax-exempt revenue bonds, in one or more series, in a maximum principal amount of not to exceed $35,000,000 (the “SCO Bonds,” and together with the BMHCC Bonds, the “Bonds”), the proceeds of which will be loaned to the Southern College of Optometry, a Tennessee nonprofit corporation (“SCO”), and used to finance or refinance the acquisition, demolition, construction, renovation and equipping of various facilities at SCO’s campus in Memphis, Tennessee.

THE BONDS SHALL NEVER CONSTITUTE AN INDEBTEDNESS OR GENERAL OBLIGATION OF THE ISSUER, THE STATE OF TENNESSEE, SHELBY COUNTY, OR ANY OTHER POLITICAL SUBDIVISION OR AGENCY OF THE STATE OF TENNESSEE, BUT SHALL BE PAYABLE SOLELY FROM REVENUES DESCRIBED IN THE BOND DOCUMENTS.
