NOTICE IS HEREBY GIVEN that on November 13, 2025, a public hearing, as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), will be held by the National Finance Authority (the “Authority”), a component unit of the Business Finance Authority of the State of New Hampshire, with respect to the proposed issuance by the Authority of its tax-exempt Revenue Bonds (BMHCC-Memphis Project), Series 2025, in one or more issues (the “Tennessee Bonds”), in a principal amount not to exceed $35,000,000, and its tax-exempt Revenue Bonds (BMHCC-North Mississippi Project), Series 2025, in one or more issues (the “Mississippi Bonds,” and together with the Tennessee Bonds, the “Bonds”), in a principal amount not to exceed $35,000,000. The hearing will commence at 4:30 p.m. EST/3:30 p.m. CST, or as soon thereafter as the matter can be heard, and pursuant to Internal Revenue Service Revenue Procedure 2022-20, the hearing will be held via toll free telephonic means accessible to the general public as described below.

The proceeds of the Tennessee Bonds will be applied along with other available funds, for the following purposes: (a) to finance the acquisition, improvement, renovation and equipping of a medical office building and other healthcare facilities of the Tennessee Borrower (the “Tennessee Project”) located at 6029 Walnut Grove Road, Memphis, Tennessee 38120, and (b) to finance costs of issuance of the Tennessee Bonds. The proceeds of the Mississippi Bonds will be applied along with other available funds, for the following purposes: (a) to finance the acquisition, improvement, renovation and equipping of a medical office building and other healthcare facilities of the Mississippi Borrower (the “Mississippi Project,” and together with the Tennessee Project, the “Projects”) located at 100 Baptist Memorial Circle, Oxford, Mississippi 38655, and (b) to finance costs of issuance of the Mississippi Bonds. The Tennessee Project will be owned by the Tennessee Borrower, and the Mississippi Project will be owned by the Mississippi Borrower. Each of the Projects will be leased to and operated by Baptist Memorial Health Care Corporation, a Tennessee nonprofit corporation (the “User”), or an affiliate thereof.

The Bonds will be special, limited obligations of the Authority payable solely from the loan repayments to be made by the Borrowers to the Authority, and certain funds and accounts established under the bond documents for the Bonds.
