Merger Expands CS3’s Customer Base

Mike Gross, president of long-time contracting company Sibley Solutions LLC, was approaching retirement age and the future of his small business’ loyal employees and customers began to weigh heavily on his mind.

“I’m getting to retirement age and finding a succession plan for the employees you care a lot about and for our customers was very personal,” Gross said.

Gross, who started with what was then Sibley Services in 1989, found the solution he was searching for in a merger with CS3 Inc.

“I knew (CS3) was a quality company and after 10 months of getting up close and personal with this company I knew it was a good fit for our customers and employees,” Gross said.

The deal means Sibley Solutions will join CS3 to become one entity and the merged company plans on aggressively growing its business in the management of smart building environments.

“For our customers and for consumers, I think what they’re going to see ultimately is we have a much bigger footprint,” said John Jerkins, president of CS3. “We’ll have the resources and reach to better serve our customers.”

For CS3, acquiring Sibley Solutions means adding employees and customers from a full-service property maintenance firm with clients across West Tennessee, North Mississippi and Eastern Arkansas.

The “CS3” in CS3 Inc. stands for “Contracting Single Source Solutions” and Jerkins said the merger will help the combined company more than deliver on its name.

John Jerkins, president of CS3, said the joining of the companies allows CS3 to be a full-service company for its clients.

“The joining of our companies will allow us to be a full-service company for our clients by expanding our resources,” Jerkins said. “Sibley brings in a lot of customers and services that we can cross-pollinate with the services that we offer.

“We’re taking the best of class with what CS3 has to offer and what Sibley has to offer and bringing it together. Now, we’ll be able to self-perform services that we weren’t able to do before.”

The merged company will have 125 employees in Memphis and Nashville.

Founded in Memphis in 1985, CS3 has made a name for itself by combining cutting edge building control technologies with traditional contracting services in the mechanical and HVAC controls industry, including building automation, piping, plumbing, power, safety and security.

“In the economy we’re in today everybody looks at the bottom line and the operational costs for a building are a key part of that,” Jerkins said. “We can bring technology to bear to bring that cost down.”

CS3, which was formerly called Mid-South Controls Inc., has done work on the Shelby County Criminal Justice Center, Shelby County Courthouse, One Commerce Square, Saint Francis Hospital-Memphis and Bridgestone Arena in Nashville.

Sibley Solutions was founded in Memphis in 1974 as Sibley Services. In 1997, Sibley was acquired by Group Maintenance America, a national company that became Encompass in 1999 and had a membership of more than 160 companies. In 2003, two original owners purchased the assets of Encompass-Sibley and began Sibley Solutions LLC.

The financial terms of the deal have not been disclosed but Jerkins and Gross said they quickly realized a merger made sense for their companies, customers and employees.

“This merger of two companies was a no-brainer,” Jerkins said. “They bring areas where we had opportunities for growth and we had expertise we could bring to them.”
